Terms of Service

1. Overview

Electrac Fundraising ("Electrac," "we," "us," or "our") provides a web-based platform for managing fundraising contacts, tracking contributions, and communicating with supporters.

By accessing or using our services, you agree to these Terms of Service. Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. By using the Service, you represent that you meet these requirements.

3. Use of the Service

You may use Electrac only in compliance with applicable laws and these Terms.

You are responsible for:

  • Maintaining the security of your account
  • Ensuring that all information you provide is accurate
  • All activity that occurs under your account

4. User Data and Responsibilities

You are solely responsible for any data you upload, including contact information, donor records, and communications.

You agree that:

  • You have the right to use and process any data you upload
  • Your use of the platform complies with all applicable laws, including federal and state campaign finance laws, election laws, privacy regulations, and anti-spam statutes
  • You will not upload data that was obtained unlawfully or without proper consent

5. Acceptable Use

You may not use the Service to:

  • Send unsolicited bulk email, spam, or messages that violate the CAN-SPAM Act, CASL, or similar anti-spam laws
  • Upload contact data you do not have lawful authority to use
  • Harass, threaten, or defame any person
  • Impersonate any person or organization
  • Transmit malware or any harmful code
  • Circumvent any sending limits, security features, or access controls
  • Violate any applicable campaign finance, election, or fundraising law

We reserve the right to suspend or terminate accounts that violate this section, with or without notice.

6. Email Integrations

Electrac allows you to connect third-party email accounts (such as Google or Microsoft) to send messages.

  • Emails are sent only when you explicitly initiate them
  • We do not access or read your email inbox
  • You are responsible for the content and recipients of all messages sent through the platform

We may impose limits on the volume or frequency of emails sent through the platform to maintain service quality and comply with third-party provider policies. Exceeding these limits may result in temporary restrictions on your email sending capability.

Your use of third-party email integrations is subject to the terms and policies of those providers (e.g., Google's Terms of Service, Microsoft's Services Agreement). Electrac is not responsible for the availability, performance, or policies of third-party services. If a third-party provider revokes or limits access, we are not liable for any resulting disruption to the Service.

7. Ownership

Electrac and its licensors retain all rights to the platform, including its software, design, and branding. You retain ownership of the data you upload to the Service. By using the Service, you grant Electrac a limited license to host, process, and display your data solely to provide the Service to you.

8. Service Availability and Disclaimer of Warranties

We strive to keep the Service available and secure, but we do not guarantee uninterrupted or error-free access. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Termination

We may suspend or terminate your access to the Service at any time if you violate these Terms or misuse the platform.

You may stop using the Service at any time.

Upon termination, you may request an export of your data for up to 30 days. After that period, we may permanently delete your account and all associated data. Sections that by their nature should survive termination (including Indemnification, Limitation of Liability, and Governing Law) will survive.

10. Limitation of Liability

To the maximum extent permitted by law, Electrac is not liable for:

  • Any indirect, incidental, or consequential damages
  • Loss of data, profits, or business opportunities
  • Actions taken by users of the platform

To the extent permitted by law, Electrac's total liability for any claim arising from these Terms or the Service shall not exceed the amounts you paid to Electrac in the twelve (12) months preceding the claim, or $100, whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless Electrac and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising out of:

  • Your use of the Service
  • Data you upload or transmit through the platform
  • Emails you send using the Service
  • Your violation of these Terms or any applicable law

12. Governing Law

These Terms are governed by the laws of the State of Oregon, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Oregon. You consent to personal jurisdiction in those courts.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a notice within the Service at least 14 days before the changes take effect. Continued use of the Service after the effective date of any changes means you accept the updated Terms.
